a.情态动词

三、合同英语的句式结构特点：

1.句子冗长，结构严谨，语序复杂

a.主句的状语的位置，一般放在助动词后, 例1:

行为动词前。

5. 否定结构

6. 主从复合句，从句经常用简略形式 例1 :

四、大写字母的运用 英语合同中，有些词的首字母需要大写。需要大写首字母的词除了基础英语中用在句 首的一般情

形外，尤其应注意下更几种情况：

1. 当事人

例如：

Party B shall inspect the raw materials supplied by Party A forthwith upon receipt thereof.

2. 机构名称 例如：

China International Economic and Trade Arbitration Commission 中国国际经济贸易仲裁委员会

3. 合同涉及的特指名称 在英文合同中，一些涉及到的关键词语，一般首字母要大写。通常会在合同的定义条 款中

定义，然后再重复使用。

对于合同中已明文定义的词语，无论在何处出现，其首字母都要大写，表示该词语按 本合同解释，这样可避免指

代不清，引起不必要的纠纷。

例如：

The Acceptance Test Manual shall be the document prepared by A which will be used by A and the

Purchaser for checking that the Equipment is in accordance with the specification and Approved Data .

本验收实验手册系指由 A 提供的，供 A 与买方检验设备是否符合技术规格和认可资料 的文件。

4. 本合同及合同具体条款及附件名称 例如：

Section 2.02 Purchase Price 第 2.02 条 售价

The purchase price to be paid by Buyer to Supplier for Biomass shall be $8,200 per ton (the “Initial Purchase

Price ”). Sales of Biomass shall be C.I.F. from supplier site, wherever it would be, cleared for export to the site

designated by Buyer in Chongqing, the People 's Republic of China. After the twelve (12) month anniversary

of the first delivery of Biomass to Buyer pursuant to this Agreement, Supplier may increase the Initial Purchase

Price by the lower of (i) three percent (3%), or (ii) the percentage increase in the Consumer Price Index as

reported by the United States Department of Labour for the corresponding period; provided, however, that a

price increase may be made only one time during any twelve month period. Supplier shall give Buyer at least

sixty (60) days prior written notice of the increase and the increase will be effective for purchase orders issued

after the effective date of the increase.

Products. The terms of this Agreement shall not be amended or modified by any Purchase Order or invoice,

unless agreed to by the parties. Buyer estimates in good faith that it

will be able to utilize and purchase a minimum of 13.8 tons of Biomass per year; provided

that the Biomass contains 0.03% of paclitaxel on an annual basis and is otherwise

supplied dried and ground in bulk form and packaged in bulk containers in accordance with the Harvesting

Guidelines.

Section 2.02 Purchase Price 第 2.02 条 售价

The purchase price to be paid by Buyer to Supplier for Biomass shall be $8,200 per ton (the “Initial Purchase

Price ”). Sales of Biomass shall be C.I.F. from supplier site, wherever it would be, cleared for export to the site

designated by Buyer in Chongqing, the People 's Republic of China. After the twelve (12) month anniversary

of the first delivery of Biomass to Buyer pursuant to this Agreement, Supplier may increase the Initial Purchase

Price by the lower of (i) three percent (3%), or (ii) the percentage increase in the Consumer Price Index as

reported by the United States Department of Labour for the corresponding period; provided, however, that a

price increase may be made only one time during any twelve month period. Supplier shall give Buyer at least

sixty (60) days prior written notice of the increase and the increase will be effective for purchase orders issued

after the effective date of the increase.

orders (“Purchase Orders”) specifying the quantity, desired delivery date and delivery address of the

Products. The terms of this Agreement shall not be amended or modified by any Purchase Order or invoice,

unless agreed to by the parties. Buyer estimates in good faith that it

will be able to utilize and purchase a minimum of 13.8 tons of Biomass per year; provided

that the Biomass contains 0.03% of paclitaxel on an annual basis and is otherwise
